The HostCommittee.com Web site (the “Web Site”) is provided by Host Committee, Inc. (“Host Committee”) and/or its affiliates and subsidiaries for your and others’ personal, non-commercial enjoyment, subject to the terms of these terms and conditions of use and all modifications thereto (“Terms and Conditions”), and the rules that may be published from time to time by Host Committee. By using this Web Site and the Services (as defined below), you are deemed to have agreed to these Terms and Conditions. Host Committee may change the Terms and Conditions from time to time and at any time, and without actual notice to you. All such changes to these Terms and Conditions will appear on Host Committee.com. By using this Web Site and the Services after we post any changes, you agree to accept those changes, whether or not you have reviewed them. If at any time you choose not to accept these Terms and Conditions of use, please do not use this site.

User Age

Because Host Committee provides information regarding alcoholic beverages, including beer, wine and spirits, Host Committee is not intended for users under the legal drinking age in their respective countries (21 years of age in the United States). To access the Services and subscribe to them, you are required to be at least 21 years of age in the United States and over the legal drinking age in your home country if residing outside the United States. No user under the legal drinking age will be able to gain admission to a Host Committee event.

Registration

You may browse the Web Site and view content without registering, but as a condition to using certain aspects of the Web Site, you may be required to register with Host Committee and select a password and screen name ("User ID"). You shall provide Host Committee with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your Host Committee account. You shall not (i) select or use as a User ID a name of another person with the intent to impersonate that person; (ii) use as a User ID a name subject to any rights of a person other than you without appropriate authorization; or (iii) use as a User ID a name that is otherwise offensive, vulgar or obscene. Host Committee reserves the right to refuse registration, cancel a User ID or deny access to the Site in its sole discretion. You are solely responsible for activity that occurs on your account and shall be responsible for maintaining the confidentiality of your Host Committee password. You shall never use another user's account without such other user's express permission. You will immediately notify Host Committee in writing of any unauthorized use of your account, or other account related security breach of which you are aware. Please read our Privacy Policy, which describes the personally identifiable information we collect, use, disclose, manage and store. As part of the registration process, you will be asked to select a username and password. We may refuse to grant you a username that impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as determined by us in our sole discretion. Your user name and password are personal to you. You will be responsible for the confidentiality and use of your username and password, and for any and all activities (including purchases, as applicable) that are conducted through your account, and agree not to transfer or resell your use of or access to the Web Site to any third party. We are not liable for any harm caused or related to the theft or misappropriation of your user name or password, disclosure of your user name or password, or your authorization of anyone else to use your user name or password. Connecting Through Facebook

By connecting to Host Committee with Facebook Connect, you give us permission to access and use your information from Facebook as permitted by Facebook.

User Conduct

This Web Site and any communications service, including the capability to contribute material through the contribution form (each such submission, a “Contribution”), invitation tool, message board, or other interactive service that may be available to you on or through this site (collectively, the “Services”) are provided to you solely for entertainment purposes. By using the Web Site and Services you agree to provide true, accurate, current and complete information about yourself as prompted by the subscription form, contribution form and any registration form. If any information provided by you is untrue, inaccurate, not current or incomplete, Host Committee reserves the right to terminate your account and refuse any and all current or future use of or access to the Services.

Host Committee does not pre-screen, monitor, review or edit the Content posted by users. However, Host Committee and its designees have the right (but not the obligation) at their sole discretion to refuse, remove or edit any Content, in whole or part, that, in Host Committee’s judgment, does not comply with these Terms and Conditions or is otherwise undesirable, inappropriate or inaccurate. Host Committee is not responsible for any failure, non-failure or delay in removing such Content. You will remain responsible for, and will indemnify Host Committee against any claims regarding, the accuracy, copyright compliance, legality, decency, or any other aspect of such submitted material, including any Contribution or part thereof, or other communication to Host Committee. You agree to immediately notify Host Committee of any unauthorized use of the Service or any other breach of security known or suspected by you.

You acknowledge and agree that Host Committee may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with any legal, regulatory or governmental processes; (b) enforce these Terms and Conditions; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of Host Committee, its users or the public.

You understand that the technical processing and transmission of the Services, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Host Committee assumes no responsibility for the deletion or failure to store postings, Contributions or other information submitted by you or other users to Host Committee.com.

Any or all Content on the Services may be purged periodically in Host Committee’s sole discretion. You acknowledge and agree that Content you view, submit or post is at your own discretion and risk, including any reliance on the accuracy, completeness, or usefulness of such Content. You acknowledge that you may not rely on any information, data, text, music, sound, photographs, graphics, video, messages or other materials created by Host Committee or submitted to Host Committee, including Content. You further acknowledge and agree that the views expressed on the Services do not necessarily reflect the views of Host Committee, and Host Committee does not support or endorse Content (including any Contribution, whether or not edited by Host Committee or its designee or presented on the Web Site edited or unedited, in whole or in part, or alone or with other content) posted or submitted by you or any User.

Making Purchases

Please review the Purchase Policy below, which will govern your order or purchase of any tickets through the Web Site. If you wish to purchase products or services described on the Web Site (each such purchase, a "Transaction"), you will be asked to supply certain information applicable to your Transaction, including, without limitation, credit card and other information. You understand that any such information will be treated by Host Committee in the manner described in our Privacy Policy. You agree that all information that you provide in connection with your purchase will be accurate, current and complete. You agree to pay all charges incurred by you or any users of your account and credit card (or other applicable payment mechanism) at the price(s) in effect when such charges are incurred. You will also be responsible for paying any applicable taxes relating to your purchases. The sale or purchase of tickets to entertainment events may be regulated by certain state, county and city laws or regulations. You acknowledge that complying with laws is your responsibility, and YOU AGREE NOT TO HOLD US LIABLE FOR YOUR FAILURE TO COMPLY WITH ANY LAW OR OUR FAILURE TO NOTIFY YOU OF, OR PROPERLY APPLY, ANY LAW. WE WILL COMPLY WITH LAW ENFORCEMENT AND MAY PROVIDE THEM WITH ALL INFORMATION YOU SUBMIT TO US TO ASSIST IN ANY INVESTIGATION OR PROSECUTION THEY MAY CONDUCT. You represent and warrant that all information you provide, including but not limited to all information concerning your name, address, credit card number, and other identifying information of any nature will be true, complete and correct, and that you will update all information as it changes. You agree that you will only use credit cards belonging to you, or friends or immediate family members who expressly authorize such use, for the purpose of purchasing tickets. You further agree that you will not attempt to conceal your identity by using multiple Internet Protocol ("IP") addresses or email addresses to use or to purchase tickets on the Site. You grant Host Committee the right to provide any information you submit to third parties for purposes of facilitating the completion of Transactions initiated by you or on your behalf. Verification of information may be required prior to the acknowledgment or completion of any Transaction.

Descriptions or images of, or references to, products or services on the Site do not imply Host Committee's endorsement of such products or services. We reserve the right, without prior notification, to change such descriptions or references; to honor, or impose conditions on the honoring of, any coupon, coupon code, promotional code or other similar promotions; to bar any user from making any or all Transaction(s); to limit the order quantity on any product or service; and/or to refuse to provide any user with any product or service. Verification of information applicable to a purchase may be required prior to Host Committee's acceptance of any order. Price and availability of any product or service are subject to change without notice. Refunds and exchanges will be subject to Host Committee's refund and exchange policies then in effect.

Mobile / Wireless Policy

In addition to any fee of which you are notified, your provider’s standard messaging rates apply to our confirmation and all subsequent SMS correspondence. You may choose to receive Host Committee mobile alerts by signing up. Message and data rates may apply, according to your individual rate plan provided by your wireless carrier. Please consult your mobile service carrier's pricing plan to determine the charges for browsing data and sending and receiving text messages. Under no circumstances will Host Committee, its parent or corporate affiliates be responsible for any text messaging or wireless charges incurred by you or by a person that has access to your wireless device or telephone number as a result of a promotion. If your carrier does not permit text alerts, you may not receive the Host Committee text alerts. Pre-paid phones or calling plans may not be supported. You may receive a bounceback message for every message you send to Host Committee.

We will not be liable for any delays in the receipt of any SMS messages, as delivery is subject to effective transmission from your network operator. SMS message services are provided on an AS IS basis.

Data obtained from you in connection with this SMS service may include your cell phone number, your provider’s name, and the date, time, and content of your messages. We may use this information to contact you and to provide the Services you request from us. We will never share this information with a third party.

Restrictions On Use of Material

The content on the Services is intended for entertainment purposes only. Except as expressly permitted, you agree not to use the Services for sale, trade or other commercial purposes, and, you may not modify, copy, publish, display, transmit, adapt or in any way exploit the content of the Services. Only if you obtain prior written consent from us — and from all other entities with an interest in the relevant intellectual property — may you publish, display or commercially exploit any material from the Services. In operating this site, Host Committee does not solicit nor does it wish to receive any confidential, secret or proprietary information or other material from you through the Web Site or Host Committee mail and e-mail addresses, or in any other way. Any information or material submitted or sent to Host Committee, will be deemed not to be confidential or secret. By submitting or sending information or other material to Host Committee you represent and warrant that the information is original to you and that no other party has any rights to the material.

User’s Grant Of Limited License

By communicating with Host Committee, including submitting or sending Content, a Contribution or other information or material to Host Committee.com, you grant Host Committee the royalty-free, unrestricted, world-wide, perpetual, irrevocable, non-exclusive and fully sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part), including any information, suggestions, ideas, drawings or concepts contained in such Content, worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed. Such license includes incorporating a Contribution, in whole or in part, into a Host Committee feature. You will remain responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of such submitted material, including any Contribution or part thereof, or other communication to Host Committee.

You also warrant that any “moral rights” in posted materials have been waived.

Email Notifications

By registering with Host Committee, either by authenticating through Facebook, signing up through our online submission form, or signing up through a promotional landing page, you consent to automatically receive email notifications related to your account activity. In addition, you may receive additional communications from Host Committee, including but not limited to: a newsletter, seasonal offers, venue availabilities, and custom notifications about Host Committee experiences that might interest you. You can opt out of most communications from Host Committee by unsubscribing or by adjusting your settings.

Linked Sites

You may be able to link to third parties’ websites (“Linked Sites”) from the Host Committee Web Site. Linked Sites are not, however, reviewed, controlled, or examined by Host Committee in any way and Host Committee is not responsible for the content, availability, advertising, products or other materials of any such Linked Sites, or any additional links contained therein. These links do not imply Host Committee’s endorsement of or association with the Linked Sites. As between Host Committee and you, Host Committee is the sole owner of all non-user generated Content and Contributions on the Services, including without limitation, all applicable U.S. and non-U.S. copyrights, patents, trademarks, and trade secrets, and other intellectual property rights thereto. Except as otherwise specifically provided in these Terms and Conditions, you may not download or save a copy of the Web Site, the Services or any portion thereof, for any purpose. You may, however, print a copy of individual screens appearing as part of the Services solely for your personal, non-commercial use or records, provided that any marks, logos or other legends that appear on the copied screens remain on, and are not removed from the printed or stored images of such screens. All title and intellectual property rights in and to the content of the Linked Sites is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties.

Parental Permission

The Services are not intended to be a children’s site or a site for minors or individuals under the age of 21, therefore, some of the available information may concern certain topics that may not be appropriate for children/minors or individuals not of legal drinking age. Suspected Violation of these Terms or Law; Injunctive, Equitable Relief, and Liquidated Damages.

Violations of these Terms, including unauthorized use of the Web Site, may be investigated and appropriate legal action may be taken, including without limitation civil, criminal and injunctive redress. You understand and agree that in Host Committee's sole discretion, and without prior notice, Host Committee may terminate and block your access to the Web Site or to Host Committee's other services, cancel your ticket or merchandise order and/or tickets or merchandise acquired through your order, refuse to honor pending and future purchases made from all credit card accounts or online accounts Host Committee believes may be associated with you, cancel a ticket or ticket order associated with any person acting or believed to be acting in concert with you, cancel your ticket postings, remove any unauthorized User Content or exercise any other remedy available, if Host Committee believes that your conduct or the conduct of any person with whom Host Committee believes you act in concert, or the User Content you provide, or any resale of such tickets purchased through Host Committee, violates or is inconsistent with these Terms or the law, or violates the rights of Host Committee, a client of Host Committee or another user of the Site. Violating any limitations or terms on the Site, including but not limited to utilizing automated means to process or place ticket orders or ordering a number of tickets that exceeds the stated limit will be deemed to be a violation of these Terms. If we are unable to verify or authenticate any information or tickets you provide during any registration, ordering, purchase, ticket posting, sale, authentication, delivery, payment or remittance process, or any other process, or if we are no longer able to verify or authorize your credit card or bank account information, your tickets may be cancelled, we may refuse to honor all pending and future ticket purchases made on such credit card accounts and/or on any online accounts associated with such credit card accounts, and you may be prohibited from using the Web Site.

You agree that monetary damages may not provide a sufficient remedy to Host Committee for violations of these Terms and you consent to injunctive or other equitable relief for such violations.

You agree that abusive use of the Web Site, as defined above, causes damage and harm to Host Committee in the form of, among other things, impaired goodwill, lost sales, and increased expenses associated with responding to abusive use of the Site. You further agree that monetary damages for abusive use of the Web Site are difficult to ascertain and that proof of monetary damages for abusive use would be costly and difficult to calculate. Accordingly you agree that liquidated damages are warranted for abusive use. Therefore, you agree that if you, or others acting in concert with you, alone or collectively request more than 1,000 pages of the Web Site in any twenty-four hour period, you, and those acting in concert with you, will be jointly and severally liable for liquidated damages in the amount of twenty-five cents ($0.25) per page request each time that a page request is made after that first 1000 during that twenty-four hour period.

Host Committee is not required to provide any refund to you if it exercises any of its rights or remedies because you have violated these Terms or any of Host Committee's rights. Additionally, we reserve the right, in our sole discretion, to modify, suspend or discontinue any part of this Site at any time, with or without notice to you. We also reserve the right, in our sole discretion, to impose limits on certain features and services and to restrict access to any part or to all of the Web Site without notice to you. We shall not be liable to you or any third party for any claim or cause of action arising out of our exercise of the foregoing rights.

HOST COMMITTEE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE MATERIALS IN THIS WEB SITE. YOU (AND NOT HOST COMMITTEE OR ANY OF ITS AGENTS) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.

Indemnification

Upon a request by Host Committee, you agree to defend, indemnify and hold Host Committee, its affiliates, officers, directors and employees harmless from any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees, arising in any way from your use or misuse of the Web Site or Services, or the uploading, posting, publishing, e-mailing, reproduction, distribution or transmission of any Content or other materials by you or users authorized by you or any violation of these Terms and Conditions by you. Host Committee reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Host Committee in asserting any available defense.

We respect the intellectual property rights of others, and require that the people who use the Host Committee.com Web Site do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please forward the following information to the Copyright Agent named below:

Applicable Laws / Jurisdiction

You agree that the laws of the State of New York excluding its conflicts-of-law rules, shall govern these Terms and Conditions. Please note that your use of the Web Site may be subject to other local, state, national, and international laws. You expressly agree that exclusive jurisdiction for any claim or dispute with Host Committee or relating in any way to your use of the Web Site resides in the courts of the State of Delaware, and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the State of New York in connection with any such dispute and including any claim involving Host Committee or its affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers.

We control and operate this site from our offices in New York, New York. We do not represent that materials on the site are appropriate or available for use outside of New York, New York. Assignment

Host Committee may transfer, assign sublicense or pledge in any manner whatsoever, any of its rights and obligations under this agreement to a subsidiary, affiliate, or successor thereof or to any third party whatsoever, without notifying you or receiving your consent. Modification

Host Committee reserves the right, in its sole discretion, to modify or replace any of these Terms and Conditions, or change, suspend, or discontinue the Services (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the Web Site or by sending you notice through the Services, via e-mail or by another appropriate means of electronic communication. Host Committee may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. While Host Committee will timely provide notice of modifications, it is also your responsibility to check these Terms and Conditions periodically for changes. Your continued use of the Services following notification of any changes to these Terms and Conditions constitutes acceptance of those changes.

Entire Agreement and Severability

These Terms and Conditions, along with our Privacy Policy, Ticket Purchase Policy and any other policies relating to the Web Site and the Services, are the entire agreement between Host Committee and you with respect to the Services, including use of the Web Site, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Host Committee with respect to the Services. If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms and Conditions will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

Purchase Policy

Our goal at Host Committee is to make your purchasing experience easy, efficient and equitable, so we can get you on your way to Host Committee events as quickly as possible. The following purchase policies are designed to ensure your satisfaction and understanding of the purchase process on Host Committee.com. Each ticket that you purchase is a revocable license to attend a particular event and is subject to these terms.

Currency

All ticket prices for events that occur in the United States are stated in U.S. Dollars. All ticket prices for events that occur in Canada are stated in Canadian Dollars.

Payment Methods

Via our integration with Paypal, Host Committee accepts several methods of payment to accommodate your needs.

Who You Are Buying From

By purchasing a ticket on the Host Committee Web Site you are purchasing the ticket from Host Committee. Tickets obtained from unauthorized sources may be lost, stolen or counterfeit, and if so are void.

Pricing and Availability

Host Committee sets the ticket prices and controls inventory. Tickets will be sold online. Tickets for popular events may sell out quickly. Occasionally, additional tickets may be available prior to the event.

Order Confirmation

If you do not receive a confirmation number (in the form of a confirmation page or email) after submitting payment information, or if you experience an error message or service interruption after submitting payment information, it is your responsibility to confirm with Host Committee whether or not your order has been placed. Only you may be aware of any problems that may occur during the purchase process. Host Committee will not be responsible for losses (monetary or otherwise) if you assume that an order was not placed because you failed to receive confirmation.

Guest List

You will not receive a physical or digital ticket for your event. Instead, your name will be placed on the event’s official guest list, which our staff will have at the entrance to each event. We suggest, but do not require, that you bring a printout of your order confirmation as proof of purchase.

Number of Tickets Per Customer or "Ticket Limits"

Host Committee may impose a ticket limit per customer, credit card, address, or other information in order to provide ticket access to as many guests as possible. Ticket limits vary depending on the type of event or the anticipated demand for tickets. Check the event information area of the purchase page for more information on ticket limits for your event. Please adhere to published ticket limits.

Ticket Transfer

Tickets are non-transferable.

Cancelled and Rescheduled Events

Occasionally, events are canceled or rescheduled. Should this occur, we will attempt to contact you to inform you of refund or exchange procedures for that event.

If your event was canceled, and you purchased your ticket through Host Committee.com, you won't need to do a thing. We'll inform you of the cancellation and refund the amount you paid for your tickets, including all fees (except UPS and retail pickup) on the same payment method used for purchase.

If your event was rescheduled, we'll contact you with the new date and time ASAP. Can't make it? We will issue refunds for rescheduled/postponed events – simply contact us at customerservice@hostcommittee.com

Refunds and Exchanges

Host Committee has a no refunds or exchanges policy unless otherwise noted.

Billing Information Verification

Orders are processed only after a billing address, and other billing information, has been verified. Occasionally, we receive incorrect billing or credit card account information for a ticket order that can delay processing and delivery. In these cases, Host Committee will attempt to contact you, using the information provided at the time of purchase. If Host Committee is unable to reach you after its initial attempt, Host Committee may cancel your order and may sell your tickets to another guest without further notice.

Delivery Options

All Host Committee tickets will be paperless.

Pricing and Other Errors

If the amount you pay for a ticket is incorrect regardless of whether because of an error in a price posted on this website or otherwise communicated to you, or you are able to order a ticket before its scheduled on-sale or presale date or you are able to order a ticket that was not supposed to have been released for sale, then Host Committee will have the right to cancel that ticket (or the order for that ticket) and refund to you the amount that you paid. This will apply regardless of whether because of human error or a transactional malfunction of this website or other Host Committee operated system.

Multiple Browser Windows

When ordering tickets online with Host Committee, please ensure you are looking for tickets and placing an order using only one browser window. Looking up tickets using multiple browser windows could result in losing your tickets.

Limitation of Liability

You voluntarily assume all risks and danger incidental to the event for which the ticket is issued, whether occurring before, during or after the event, and you waive any claims for personal injury or death against Host Committee, management, venue, sponsors, and all of their respective parents, affiliated entities, agents, officers, directors, owners and employees on behalf of yourself and any accompanying minor. You bear all risks of inclement weather. Event date and time are subject to change.

License; Ejection and Cancellation; No Redemption Value

Host Committee reserves the right, without refund of any amount paid, to refuse admission to, or eject, any person whose conduct management deems disorderly, who uses vulgar or abusive language or who fails to comply with Host Committee or venue rules. Breach of terms or rules will terminate your license to attend the event without refund. A ticket is a revocable license and admission may be refused upon refunding the ticket's face amount. A ticket is not redeemable for cash.

Recording, Transmission and Exhibition

You agree not to record or transmit, or aid in recording or transmitting, any description, account, picture, or reproduction of the event for commercial purposes. You agree that the event for which you purchase tickets is a public event, that your appearance and actions inside and outside the venue where the event occurs are public in nature, and that you have no expectation of privacy with regard to your actions or conduct at the event. You grant permission to Host Committee and the Hosts to utilize your name, image, likeness, acts, poses, plays, appearance, movements, and statements in any live or recorded audio, video, or photographic display or other transmission, exhibition, publication or reproduction made of, or at, the event (regardless of whether before, during or after play or performance) for any purpose, in any manner, in any medium or context now known or hereafter developed, without further authorization from, or compensation to, you or anyone acting on your behalf.

You Are Subject to Search

You and your belongings may be searched on entry to the event. You consent to such searches and waive any related claims that may arise. If you elect not to consent to such searches, you may be denied entry to the event without refund or other compensation. Under certain venue rules, certain items may not be brought into the premises, including without limitation, alcohol, drugs, controlled substances, cameras, recording devices, laser pointers, strobe lights, irritants (e.g., artificial noisemakers), bundles and containers.

Unlawful Re-Sale of Tickets; Commercial Purposes

Unlawful resale (or attempted resale), counterfeit or copy of tickets is grounds for seizure and cancellation without compensation. In addition, Host Committee reserves the right to restrict or deny ticket purchasing privileges to anyone that Host Committee determines to be, or has been, in violation of this policy. Tickets may not be used for advertising, promotions, contests or sweepstakes, unless formal written authorization is given by Host Committee, provided that even if such consent is obtained, any use of Host Committee's trademarks and other intellectual property is subject to Host Committee's consent.
